Abstract:
Corporate restructuring is the re-organization of the share-capital of the company or reorganizing the legal ownership and financial structure of the company. The idea of the ‘structure’ as such, is strongly linked to the existence of an objects clause in the Memorandum of Association. In the present study it is attempted to juxtapose the idea of ‘restructuring’ with how the law has evolved with regard to the ‘structure’ of a company. However, as the years progressed, companies began to include practically every conceivable activity in their object clause, and therefore, the doctrine, to that extent was practically eclipsed. It is precisely in this setting and context that this article aims at evaluating the role of shareholders in ‘restructuring’, with a critical analysis of available mechanisms for articulating dissent and an analysis of the exit option available for dissentor.

Dr. Richa Yadav
Abstract:
E-learning has started to merge with the technical and higher educational system which has significantly improved the task of knowledge accession and propagation worldwide. The success of e- learning programs does not depend on its effectiveness when it comes to the innovative modes of learning it offers to the student community. This can be observed in the institutions of Bikaner which have not been touched by the e-learning landscape and its advantages to that great extent. The importance of e-learning has been emphasized in research papers, but practical application is still inadequate.
Hence the aim of this study is to recognize the concerns related to e-learning and to provide strategies to overcome the issues. This paper will also inquire into the barriers or bottlenecks in the process of adoption of e-learning in technical and higher educational institutions in Bikaner, Rajasthan and compare them with those found in other institutions in India. The author has also suggested possible remedies to these barriers.

Abstract:
Employee monitoring has in the present generation business world as essential aspect of organization administration for security of data and organization from external vandals. As companies increased their utilization of digital tools and adopted remote working, they were struggling with confining delicate data and working successfully. As a result, the tools that allow monitoring and controlling computer operations or keeping track of employees’ emails, and restricting their Internet usage – have become popular Employee monitoring tools. According to the respondents, these systems are implemented mainly in advertising (83% of the respondents), technology (77%), finance (60%), and manufacturing (60%) to meet data confidentiality and protection from misuse of organizational resources. The enhanced use of monitoring technologies further shows that they play a protective role to organizations from internal and external threats. They allow firms to detect potentially unauthorized actions, monitor compliance with company rules, and guarantee employees stay productive. However, the effectiveness of such systems is in question with great concern to employees’ privacy and the trust of the organization. Keeping rights both organizational and individual in check is always a delicate area because there is always a struggle between the two in order to ensure morale and breaches on individual privacy are not made.Student’s purpose: This paper aims at identifying the effects of the implementation of employee monitoring in relation to data security and performance of companies cutting across different industries. They analyze the role of monitorial systems for the purpose of anti-data leak and performance management and control and how it as well relates to legal and ethical issues. In addition, it assesses how organisations may implement the above monitoring tools while observing the data protection regulations in their countries and provides information on how to design a protective but liberal workplace for employees.
